Tax Associate


Thompson Coburn LLP is seeking a tax associate for its Chicago or St. Louis office with between three and five years of federal income tax experience in a sophisticated and transaction-based practice. Clients serviced will include: publicly- and closely-held corporations, partnerships, foreign and domestic financial and strategic investors (e.g., hedge funds and private equity funds and sponsors), large tax-exempt institutions and high net worth individuals. Candidates with large firm experience, a law degree from a top-flight law school, an LL.M in taxation and participation in the ABA Section of Taxation would be a strong plus, and the ability to work as part of a team, is essential. A candidate should have a strong skill set in a number of the following subject matter areas.


Experience representing acquirers and sellers of businesses in taxable and tax-free mergers and acquisitions, including reorganizations, recapitalizations and private equity investments.

Experience representing venture capital and later stage investors and their investees with respect to structuring the issuances, exchanges and redemptions of debt, investment units, preferred stock and common stock and corresponding pass-through equity interests.

Detailed familiarity with partnership tax allocations and a wide range of partnership-related transactions, including the use of multiple classes of interests, redemptions, spin-offs and sponsor compensation issues, as well as the preparation of offering materials.

Background in the use of financial instruments, such as swaps, derivatives, debt-equity units, debt and equity exchanges, and debt modifications.

Knowledge of a variety of real estate transactions, especially deferral techniques.

General knowledge regarding federal income tax aspects of international in-bound and out-bound transactions and the application of specialized foreign tax provisions.
