Reporting to the General Counsel, the Corporate Attorney is responsible for assisting the General Counsel and Senior Corporate Counsel in provision of all legal services to the company and its subsidiaries, including the following subject areas: contracts, intellectual property, M & A transactions, compliance, labor and employment, antitrust, real estate, and litigation supervision, as well as day-to-day legal advice. This is currently a three-person department - the General Counsel, the Senior Corporate Attorney and the Paralegal; this would be the fourth.

Specific responsibilities include:

Provide legal support for mergers/acquisitions/divestitures/joint ventures and other business transactions.

Draft and negotiate a variety of commercial contracts such as vendor/procurement, sales/distribution, leases, and non-disclosure agreements.

Identify complex legal issues affecting the company and develop and implement courses of action necessary to address major issues and questions.

Implement appropriate processes and policies to ensure compliance with applicable laws and regulations and management and avoidance of disputes.

Interpret laws, rulings and regulations.

Supervise outside lawyers hired to assist the corporation with specialized legal services and litigation.

Provide practical legal advice and support on business matters in a fast-paced environment.

Analyze legal issues relating to proposed products and marketing.

Assist management with labor and employment law concerns and creating and interpreting company policies.

Handle intellectual property matters including trademarks, patents, and non-disclosure agreements.

J.D. degree with admission to the Illinois bar and current license to practice law in Illinois required

At least 2 years of legal experience in general corporate law required; law firm (specifically in the area of M&A) experience strongly preferred; will consider corporate experience as well

Extensive experience with contract management required; demonstrated ability to review, analyze, draft, negotiate and close agreements or legal documentation

Ability to understand the issues involved with doing business globally; global experience a plus

Ability to identify and analyze potential legal issues and develop business-focused legal advice and solutions a must

Ability to display excellent judgment, analysis and problem solving skills essential

Excellent negotiation skills required

Superior verbal and written communication skills required. Excellent presentation skills a must

Excellent interpersonal skills with ability to provide value to business and functional leaders and their staffs essential

Ability to manage multiple priorities with tight deadlines required

Must demonstrate the highest standards of personal and professional integrity and character and promote ethical business behavior throughout the organization

Bi-lingual skills a plus
