About the Role
Ronin is currently looking to hire a Legal Assistant/Attorney to join our Legal and Compliance team in Chicago. We are looking for candidates with 2-4 years of prior relevant experience, preferably in the securities or financial services industry. We want a team player and self-starter that enjoys learning and thrives in an entrepreneurial environment.
Primary Responsibilities
Review, draft and solidify agreements, contracts and other legal documents that ensure the Company's full legal rights; effectively negotiate contracts by analyzing and minimizing risk, ensuring compliance with the terms and conditions, documenting amendments, etc.
Communicate and negotiate with external parties (clearing firms, banks, counterparties' counsel, and vendors) in order to facilitate Company's desired relationship with such parties.
Support the Legal and Compliance team with all aspects of state filings, annual reports, etc.
Manage and conduct projects associated with the handling of business and regulatory litigation. Assist as necessary in their provision of legal services including the handling of contracts.
Complete timely submission of securities-related class action claim forms and related data to claim administrators and tracking of such filings in legal/compliance databases.
Conduct investigations, collect and prepare documents and fact-finding information to aid in the handling of business and regulatory litigation.
Conduct research, file legal documents, open new matters, coordinate and attend meetings, and gather information to respond to internal information requests and/or litigation matters.
Assist with various administrative tasks and projects i.e. organize/prioritize work flow with team members; process and maintain records of legal department invoices; collect, organize, and prepare documents for off-site archival storage using the established file classification system; fulfill document retrieval requests as needed.
Qualifications and Preferred Experience
Bachelor's degree required, JD a plus.
Two to five years of relevant experience as a legal assistant, paralegal, or junior attorney, preferably in regulatory compliance, contracts, or legal support function in a corporate setting.
Working knowledge of the legal system, legal research procedures, and information sourcing.
General understanding of business-related legal documents including operating agreements, service and vendor agreements, and employment related agreements is required.
Familiarity with securities transactions is a plus, particularly derivative trading and repurchase agreements.
Proven experience delivering high quality work under tight time constraints, with the ability to manage multiple complex tasks concurrently. Strong attention to detail and excellent proofreading skills are required.
Dependable and driven, has an inherent sense of urgency to get the job done and manage tasks to closure.
Effective verbal communication with the ability to listen, request clarification and respond well to questions.
Exceptional written communication with the ability to write in a manner which is clear and persuasive.
Critical thinking and analytical skills with the ability to identify and solve complex problems accurately and quickly.
Highest degree of integrity; exhibits professionalism, abides by confidentiality and appropriate discretion as matters warrant.
Strong planning and organizational skills, with the ability to document processes and procedures.
Proficiency with Microsoft Office products, especially MS Word, Excel, PowerPoint, and Adobe Acrobat Professional required. Ability to learn internal applications. Familiarity with Bloomberg a plus.
