Stahl Cowen Crowley Addis LLC, an established downtown Chicago firm, seeks a qualified candidate to join our team as a Corporate Paralegal. While we pride ourselves on high quality work and service, we are also a close- knit, collegial group, and we enjoy and have fun practicing with each other and working closely with our clients.
Handle formations of new entities, including corporations, limited liability companies, partnership and non-profits.
Draft basic ancillary organization documents, including operating agreements, by laws, stock purchase agreements with compiled schedules, stock certificates and ledgers, and assignments of assets.
Complete and file Form SS-4s or use of the IRS web portal to obtain EINs.
Track and file annual reports and statements of information for all client entities as well and accompanying minutes, resolutions, and consents.
Compile and maintain corporate minute books.
Prepare and file Secretary of State documents, including amendments, conversions, mergers, assumed name, and dissolutions.
Order, track, and summarize lien searches and results.
Draft and record grant deeds, quit claim deeds, warranty deeds, and PCORs. This includes knowing the local rules of each county to make sure all necessary documents are submitted.
Participate in closings and post closings activities, including the drafting, compiling, tracking and organizing of the closing checklist, compiling schedules and ensuring we are in possession of all good standing certificates, signature pages, drafting and compiling closing books, as well as providing general support on transactions.
Review purchase and sale agreements to create key-date memorandums.
Respond to general transition requests for information by acting as a liaison between all involved parties.
Preform legal research and drafting of informative memorandums.
Interface with corporate service providers, including statutory registered agent services and publishing companies.
Provide direct support and services to clients, using discretion on when to handle matters independently and when to involve an attorney.
Provide general paralegal support to partners and associates.
Candidates desiring to join our team should have the following qualities:
Natural-born attention to detail (you will manage critical and often complex corporate legal affairs
Ruthless (bordering on obsessive) focus on organization and organizational systems (you will be instrumental in keeping our lawyers organized and on top of their practices and deliverables
Ability to multitask, manage a variety of deadlines and work with multiple professionals (you will be supporting our team of attorneys and an active client base - you will be the glue)
Comfort within a dynamic, team-oriented and client-centered environment (you will manage a number of matters on varying timelines and will communicate directly with clients from time to time)
Five or more years of experience as a corporate paralegal is preferred. Experience with Microsoft
Office (Excel, Outlook, Word) is important. Competitive compensation/benefits available.
